Terms of Service

Please read these terms carefully before engaging in business with FIZON. These terms govern all wholesale transactions and business relationships.

1 Introduction and Acceptance

Welcome to FIZON. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "Buyer", "You") and FIZON ("Company", "We", "Us") regarding your use of our wholesale mobile phone parts supply services.

By placing an order, requesting quotations, or engaging in any business communication with FIZON, you acknowledge that you have read, understood, and agree to be bound by these Terms.

FIZON reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued business engagement constitutes acceptance of modified Terms.

2 Business Model and Services

B2B Wholesale Only: FIZON operates exclusively as a B2B wholesale supplier. We do not sell to individual consumers or end-users. All customers must be legitimate businesses in the mobile phone repair, distribution, or resale industry.

Sourcing Partner Model: FIZON is not a manufacturer or factory. We are a sourcing and supply chain partner that integrates multiple qualified factories and suppliers to provide consolidated, one-stop sourcing solutions for mobile phone parts.

Services Include: Product sourcing, quality control, inventory management, consolidated shipping, technical support, and supply chain consulting for mobile phone spare parts across 1000+ SKUs.

3 Ordering Process and Pricing

Minimum Order Quantity (MOQ): Standard MOQ is 50 pieces per model. Mixed-model orders are accepted with individual model MOQs maintained.

Quotation Validity: All price quotations are valid for 7 days from issuance date. Prices may fluctuate based on market conditions, exchange rates, and supplier costs.

Order Confirmation: Orders are confirmed only upon receipt of signed purchase order and required deposit. Verbal agreements or email acknowledgments do not constitute confirmed orders.

Product Availability: All products are subject to availability. FIZON reserves the right to cancel or modify orders if products become unavailable due to supplier constraints.

4 Payment Terms and Conditions

New Customers: 100% payment in advance via bank wire transfer (T/T) before production/shipment.

Established Customers: Payment terms may be negotiated based on credit history and order volume.

Payment Methods: Bank wire transfer (T/T), PayPal, Western Union, or other methods may be accepted for smaller orders at FIZON's discretion.

Late Payment: Overdue payments may incur interest charges of 1.5% per month. FIZON reserves the right to suspend services for accounts with outstanding balances.

5 Quality Control and Warranty

Quality Grades: Products are clearly categorized by quality grades (INCELL, OLED, Soft OLED, OEM, Original Refurbished, etc.). Customers are responsible for selecting appropriate grades for their market needs.

Quality Control: All products undergo professional QC testing before shipment. Our target defect rate is less than 0.5%.

Warranty Period: Standard warranty is 12 months from delivery date for manufacturing defects. Warranty does not cover physical damage, improper installation, or normal wear and tear.

Return Policy: Defective products must be reported within 7 days of receipt. Returns require prior authorization and original packaging. Customer bears return shipping costs unless defect rate exceeds 10%.

6 Shipping and Delivery Terms

Shipping Methods: DHL, FedEx, UPS for express delivery; Sea freight for large orders. Shipping method selection based on order size, destination, and customer preference.

Delivery Time: Express shipping: 3-7 business days. Sea freight: 15-35 days depending on destination. Processing time: 1-5 business days after payment confirmation.

Shipping Costs: FOB China terms unless otherwise agreed. Customer responsible for shipping, insurance, and destination charges. Shipping quotes provided before shipment.

Risk Transfer: Risk of loss transfers to customer upon delivery to carrier. Professional packaging ensures safe transit, but FIZON is not liable for carrier-related damages without insurance coverage.

7 Intellectual Property and Compliance

Third-Party Parts: FIZON supplies compatible and aftermarket parts for mobile phone repair. Products are not manufactured by or affiliated with original equipment manufacturers (OEMs).

Customer Responsibility: Customers are responsible for ensuring compliance with local laws, import regulations, and intellectual property rights in their jurisdiction.

Trademark Usage: Product descriptions may reference OEM trademarks for compatibility identification only. Customers must not misrepresent products as OEM original parts.

Indemnification: Customer agrees to indemnify FIZON against any claims arising from customer's use, resale, or distribution of products in violation of applicable laws or IP rights.

8 Limitation of Liability

Maximum Liability: FIZON's total liability for any claim shall not exceed the value of the specific products giving rise to the claim.

Consequential Damages: FIZON shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or loss of data.

Force Majeure: FIZON is not liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, supplier issues, or pandemic-related disruptions.

Time Limitation: Any claims must be brought within 6 months of the date the cause of action arose. Failure to provide timely notice waives the right to claim.

9 Termination and Dispute Resolution

Termination Rights: Either party may terminate the business relationship with 30 days written notice. FIZON may terminate immediately for breach of payment terms or violation of these Terms.

Dispute Resolution: Parties agree to attempt resolution through good faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

Governing Law: These Terms are governed by the laws of the People's Republic of China. Any legal proceedings shall be conducted in English and Chinese.

Survival: Provisions regarding payment, warranty, limitation of liability, and intellectual property shall survive termination of the business relationship.
